Realtics Office Brokerage Terms · Version brokerage-terms-2026-10-v2 · Last updated: {set on publication}
Realtics Inc., 135 Bass Pro Mills Dr Unit 54, Vaughan, ON L4K 5W4 · support@realtics.ca
The short version
This page is a plain-words guide to the terms that follow. The terms are the contract. If this page and the terms ever disagree, the terms apply, and we will fix this page.
What you pay, and how it ends
- You pay a monthly base fee plus a fee for each agent seat. The exact fees are in the order form you signed with Realtics. They are also on your Billing page.
- Before your setup is complete, the broker of record adds a payment method in Office. It can be a card or a bank debit. We do not charge it before your billing start date, unless you add it in the last two days before that date or later; then the first charge is made when you add it.
- We give you 30 days' written notice before any price goes up.
- It is month to month. There is no long contract.
- Once a billing month has started, we do not refund it. If we charge you by mistake, we refund the mistake.
- To end your plan, the broker of record clicks End my plan on the Billing page. Or they email support@realtics.ca.
- Your plan ends on the first billing date that is at least 30 days after you ask. You pay up to that date. There is no exit fee.
- You can change your mind and withdraw your request until the end date.
- We may call you once to talk about it. Your request stands whether or not you take the call.
- We can end the agreement too. We give at least 90 days' written notice, send you the export without being asked, and refund any prepaid fee for the unused part. We end it at once only for a serious breach or unlawful use.
If a payment fails
- We email the broker of record on day 0, day 7, day 14 and day 40. We count the days from the first failed payment. We may also call on day 7 and day 40.
- Nothing changes for your office until day 30. On day 30 your office goes into limited mode. New agent invites, Raie's work and automatic deal intake switch off.
- Trust record-keeping, deposits, refunds, reconciliation, viewing, reports, the RECO audit package and export are not switched off because of billing.
- On day 45 we tell your agents, in the app, that their seat is scheduled to end on day 52. We never say why.
- On day 52, agents who have not bought their own plan move to the Free plan.
- If you pay at any point, everything goes back to normal.
- If you never pay, your Records and your export stay available to you for the whole legal keeping period, at our cost. We may end the agreement 30 days after day 52, but that promise stays. You still owe the fees, and we collect them by ordinary means. We charge no interest.
Who owns the records
- You do. Deals, trust records, trade record sheets, FINTRAC records and documents belong to your brokerage.
- We keep them for you and use them only to run the service for you. We do not use them to train AI models. We do not use them to sell things to your agents.
- Your agents keep their own accounts and their own deals, contacts and forms.
- We keep your records for at least six years, or longer if the law says longer. We do not delete them in that time. We fix mistakes only by adding a new entry.
- After that time, we give you 90 days' written notice and an export before we remove anything.
Can I get my data out?
Yes. On written request, within 10 business days, free, even if you owe us money.
- We aim to send it in 3 business days.
- If RECO demands your records in writing, we send them within 2 business days of you telling us.
- The data tables show only the last 3 digits of SINs and business numbers, and leave out ID-document numbers. The filed documents themselves are included as they were filed.
- Reports, the RECO audit package and deal documents you can download yourself, any time, without asking us.
What we tell your agents
- We may tell your agents, in the app, that their seat is scheduled to end and on what date. We may offer them a plan of their own.
- We use plain, neutral words. We never say why. You see the words first.
- To make that offer we use only what the agent made for themselves. We never use your records.
What Raie does and does not do
- Raie is our AI. It reads documents, checks deals, writes summaries, answers questions and proposes changes.
- Raie does not approve a deal, authorize or move trust money, sign anything, or send anything for signature. A person does those.
- Raie can be wrong. Deal values marked "Filled by AI" need a person to check them. Raie does not give legal advice.
- We do not send photos of ID documents or FINTRAC records to Raie or any other AI feature.
- You and your broker of record stay responsible for following the rules.
- Our AI runs on Microsoft Azure OpenAI in the United States.
The limits
If something goes wrong because of us, there is a limit on what we owe you. See clause 20.
Questions
The terms
1. About these terms
1.1 Who is who. These terms are an agreement between Realtics Inc. ("Realtics", "we", "us") and the brokerage named on the Order Form (the "Brokerage", "you"). They cover Realtics Office, the back office at office.realtics.ca ("Office"), and the Pro seats we give your Agents in the Realtics app at app.realtics.ca.
1.2 What Realtics is and is not. Realtics makes software. Realtics is not a real estate brokerage, not a broker of record and not registered under the Trust in Real Estate Services Act, 2002 ("TRESA"). Realtics does not hold, receive or move trust money. Realtics does not trade in real estate and does not advise on any trade.
1.3 Meanings.
- Agent: a person registered with RECO who works through the Brokerage and has a Seat.
- Billing Start Date: the date in the Order Form from which fees are charged.
- Broker of Record: the individual the Brokerage has told us is its broker of record. Backup Broker: the person named as the backup in Office Settings.
- Business day: Monday to Friday, except Ontario statutory holidays.
- Order Form: the order form the Brokerage signs with Realtics before we invite it to Office. It sets out the base fee, the seat rates, the Billing Start Date and anything else agreed for the Brokerage. The same fees are shown on the Billing page.
- Plan: the Brokerage's Office subscription (a base fee plus Seats).
- Records: everything the Brokerage, its Agents and its staff create, upload or receive in Office for the Brokerage's business. This includes deals, deal documents, trust and bank records, reconciliations, trade record sheets, FINTRAC records, compliance documents, agent records and the audit trail.
- Seat: an Agent's Pro access that the Brokerage pays for.
- Limited Mode: clause 8. Statutory Period: clause 12.3. Regulator Demand: a written demand from RECO or another regulator for records.
1.4 The short version. The short version at the top is a plain-words guide. It is not a separate contract. If it differs from these terms, these terms apply.
1.5 Which document wins. If the signed Order Form and these terms differ, the signed Order Form applies. Later changes to fees follow clause 4.2, unless the Order Form says otherwise. For everything the Order Form does not cover, these terms apply.
2. Agreeing, and who can act
2.1 How the Brokerage agrees. The Brokerage agrees to these terms by signing the Order Form, which includes them. When the Broker of Record first joins Office, they also tick the box "I agree to the Brokerage Terms and have read the Privacy Policy." and continue. We keep a record of the version, the date and time, the name and email of the login used, and the IP address and browser of the session.
2.2 Who may act for the Brokerage. The Broker of Record gives notices and instructions for the Brokerage. That includes ending the Plan, asking for a pause, asking for an export, changing payment details and changing who the Broker of Record is. We may rely on an instruction from the Broker of Record without further checks. Only the Broker of Record may do these things, unless the Broker of Record tells us in writing that someone else may.
2.3 When the Broker of Record is away. The Broker of Record or the Backup Broker can set "Away until" a date in Office Settings. While it is on, the Backup Broker also gets the billing notices, the alerts email and the trade records to sign. It does not change who may sign, and it does not change who may give instructions under clause 2.2. It ends by itself on that date. We log when it is set.
2.4 Another person for billing notices. The Brokerage may ask us in writing to send billing notices to one more person. We may agree. A notice sent to the Broker of Record still counts as notice to the Brokerage.
2.5 Changing the Broker of Record. Realtics support changes the Broker of Record when the Brokerage asks in writing and we have checked who is asking. We log the change. Telling RECO about the change is the Brokerage's job under the law, not ours.
2.6 Users. The Brokerage decides who gets an Office login and what role they have. The Brokerage is responsible for what its users do in Office and for keeping logins private. Every Office login needs a password and a second sign-in step (an authenticator app). Each person who uses Office also agrees to our Terms of Service for individual users.
3. The service
3.1 What the Brokerage gets. Office for the Broker of Record and the Brokerage's staff, Pro seats for its approved Agents, and support by email at support@realtics.ca.
3.2 Seats: joining. A Broker of Record invites an Agent. The Agent accepts, and the Broker of Record approves. The Seat starts when the Broker of Record approves. An invite that is not accepted expires. An Agent can belong to one brokerage at a time. When an Agent joins:
- they get Pro access, paid by the Brokerage;
- the Brokerage's details appear on their forms;
- their existing deals stay private to them;
- new deals are shared with the Brokerage once an offer is marked Accepted.
If the Agent already pays for their own Pro plan, that plan runs to the end of the period they paid for and does not renew. That is a matter between the Agent and Realtics and is in our terms for individual users.
3.3 Seats: ending. A Seat ends when the Agent leaves, when the Brokerage removes the Agent, or when the Plan ends. Before an Agent is removed or leaves, the Brokerage must reassign the Agent's open deals or keep them as office-managed.
- What you pay. The Seat fee follows the number of active Agents. When an Agent leaves or is removed, the Brokerage stops paying for that Seat, and Stripe adjusts the next invoice for the unused part of the month. Brokers and office staff are not billed as Seats.
- What the Agent keeps. The Agent keeps full access for 7 days. After that, the Agent moves to the Free plan unless they have a plan of their own. The Agent keeps their account and normal access to their own deals, contacts and forms. In My Brokerage they can still read, but not change, their payouts, statements and T4A slips from their time at the Brokerage. After the 7 days they can no longer download those PDFs and must ask the Brokerage for copies.
- What the Brokerage keeps. The Brokerage keeps all of its Records, including its Records of deals shared with it.
3.4 No uptime promise. We work to keep Office running. We do not promise it will always be available or free of errors, and we do not offer an uptime guarantee (a service level). If Office is down, your Records are safe, tell us at support@realtics.ca, and you can ask for an export. Because the law makes the Brokerage responsible for its own trust and trade records, we suggest you download the signed monthly reconciliation and the RECO audit package every month and keep your own copy. We make no promise about how fast we answer support messages. The only response times we promise are the export times in clause 13.
3.5 Changes to the service. We may add, change or retire features. We will not remove trust record-keeping, viewing, reports, the RECO audit package or export during the Statutory Period unless we give 90 days' written notice and a way to get the same Records out.
4. Fees, billing and payment
4.1 Fees. The fees are the ones in the Order Form, also shown on your Billing page: a base fee and a fee for each Seat, charged in bands, each band at its own rate, as the Order Form shows. Fees are in Canadian dollars. We do not write prices in these terms.
4.2 Price changes. We give the Broker of Record at least 30 days' written notice before any increase to the base fee or any seat rate takes effect. If you give notice to end your Plan under clause 6 before the new fee starts, the old fee applies until your Plan ends.
4.3 Billing. We bill monthly, in advance. The Billing page and email show each invoice. When a Seat is added or removed during a month, Stripe adjusts the next invoice by the extra or unused part of the month.
4.4 How you pay. You pay by credit card, debit card, or pre-authorized debit (PAD) from a Canadian business bank account. We use Stripe to take payments. We do not store card numbers.
For PAD:
- You give your authorization on Stripe's PAD form. That form is the authorization.
- The amount can change when the number of Seats changes. We will give notice of the amount and date of each debit as the PAD rules and your authorization require.
- You can cancel the PAD authorization as the authorization says. You must then give another way to pay.
4.5 Taxes. Fees do not include taxes. Realtics Inc. is not registered for HST at the date of these terms and charges no HST. When the law requires Realtics to register and charge HST, we will add it to invoices from the date the law requires and tell you. That is not a price increase under clause 4.2.
4.6 Refunds. Fees for a billing month that has started are not refunded. These are the only exceptions: (a) we charged you by mistake, and we refund the mistake; (b) we end the agreement for convenience under clause 6.7(d), and we refund the unused part of any prepaid fee; (c) we choose to give a credit under clause 10, which is always our choice. The adjustment on your next invoice when Seats change (clause 4.3) is how Seat fees are worked out. It is not a refund.
4.7 Unpaid fees. If a payment fails, clause 7 applies. Fees still owing stay owing. We do not charge interest. We may collect unpaid fees by ordinary lawful means. We will not hold back an export or your Records because fees are unpaid.
4.8 A wrong invoice. Tell us within 30 days of the invoice. We will look at it and fix any mistake.
5. Setup, payment method and the guided 30-day start
5.1 A payment method is part of setup. Setting up your Office is not complete until the Broker of Record adds a payment method in Office: a credit or debit card, or PAD from a Canadian business bank account. It is a required step and cannot be skipped. Until then, Office opens only to the setup page. A bank account the bank is still confirming counts as added. Adding it does not start billing. We do not charge it before the Billing Start Date, unless it is added after the last day the Billing page shows for this (about two days before the Billing Start Date). Then the first charge is made when it is added.
5.2 The Billing Start Date. The signed Order Form sets the Billing Start Date. You pay no fees before it. Your Agents can use their Seats during the guided start. From the Billing Start Date we charge the payment method you added, each month, as clause 4 says.
5.3 One extension. We may extend the Billing Start Date once, by up to 14 days, if we decide to. You have no right to an extension.
5.4 If you do not continue. If you tell us before the Billing Start Date that you do not want to continue, or we decide, after trying to speak with you, that the start is not continuing, then:
- (a) we tell the Broker of Record in writing first;
- (b) Office goes into Limited Mode (clause 8, the pause and plan-end version);
- (c) your Agents are told in the app that their Seat is scheduled to end 7 days after our written notice to you;
- (d) your Records stay under clause 12 and export is available under clause 13;
- (e) you can start again by emailing support@realtics.ca.
5.5 After billing starts. The Plan then continues month to month under clause 6. If the first charge fails, clause 7 applies.
6. Month to month, and ending the Plan
6.1 Month to month. The Plan is month to month. It renews each month until it ends under this clause or clause 7.
6.2 How the Brokerage ends it. The Broker of Record gives 30 days' written notice. In Office, go to Billing and choose End my plan. Or email support@realtics.ca from the Broker of Record's account email.
- The Plan ends on the first billing-period end that is at least 30 days after the notice.
- If there is no billing period yet, it ends 30 days after the notice.
- The screen shows the exact date before you confirm, and we confirm it in writing.
- You pay for the Plan up to that date.
- There is no exit fee, early termination fee or penalty.
6.3 Changing your mind. The Broker of Record can withdraw the request on the Billing page at any time before the end date. The Plan then carries on as before.
6.4 Our contact. We may contact the Broker of Record once to talk about the request. The request stands whether or not you take the call. Your end date, your Records and your export do not depend on that conversation.
6.5 On the end date.
- (a) Office goes into Limited Mode (clause 8, the pause and plan-end version). New agent invites and Raie's work switch off. Deal intake, trust record-keeping, viewing, reports and export stay on.
- (b) On the end date, each Agent is told in the app that their Seat is scheduled to end 7 days later.
- (c) After those 7 days, Agents without a plan of their own move to the Free plan.
- (d) Your Records stay under clause 12. Export stays available under clause 13.
Ending your Plan is not treated as non-payment. The ladder in clause 7 does not apply to it.
6.6 Fewer seats. You can reduce your Seats in any month by removing Agents (clause 3.3).
6.7 Realtics ending the agreement. Realtics may end the agreement
- (a) if the Brokerage breaches it and does not fix the problem within 30 days of our written notice;
- (b) at once, by written notice, if the Brokerage seriously breaches it or uses Office unlawfully;
- (c) for non-payment, as clause 7.5 says; or
- (d) for convenience, by giving at least 90 days' written notice. In that case we send the export without being asked, and we refund any prepaid fee for the unused part.
We do not end the agreement at once for any other reason. Clauses 12, 13 and 19 apply however the agreement ends.
6.8 What continues. Clauses 4.7, 12, 13, 14, 17, 18, 19, 20 and 22 continue after the agreement ends.
7. If a payment fails
7.1 How we count. Day 0 is the Toronto calendar day of the first failed payment. Each later "day" is the Toronto calendar day counted from that day. Our notices and your Billing page show the real dates.
7.2 What happens, and when.
| Day | What happens |
|---|---|
| Day 0 | The payment fails. Stripe may retry it automatically. We email the Broker of Record and show a banner on the Billing page. |
| Day 7 | We email a second notice. We try to call the Broker of Record. |
| Day 14 | Formal written notice by email. It gives the real dates for days 30, 45 and 52. This is the formal notice under this agreement. |
| Day 30 | Limited Mode begins (clause 8). |
| Day 40 | We email again and try to call. This is the last contact before your Agents are told. |
| Day 45 | Each Agent is told in the app that their Seat is scheduled to end on the day-52 date. We do not say why. They can keep Pro with a plan of their own (clause 11). |
| Day 52 | Agents without a plan of their own move to the Free plan. |
7.3 If you pay. If the payment problem is fixed at any point, including after day 52, the Plan and every Seat return to normal. Notices to Agents are withdrawn. A plan an Agent bought for themselves in the meantime stops renewing at the end of the period they paid for.
7.4 What the ladder never does. The ladder never switches off trust record-keeping, deposits, refunds, reconciliation, viewing, reports, the RECO audit package or export because of billing. It never deletes anything. It never holds back an export.
7.5 After day 52. The Plan stays in Limited Mode until you pay or end it. If you never pay, your Records and the export stay available to you for the Statutory Period, at Realtics's cost, and trust record-keeping stays open (clauses 8.3 and 12.4). We may end the agreement for non-payment by giving 30 days' written notice after day 52. If we do, clauses 12 and 13 continue, including our promises about your Records and the export. The fees you owe stay owing. We collect them by ordinary lawful means and charge no interest (clause 4.7).
7.6 If Stripe cancels the subscription. If Stripe cancels the subscription after its last retry, the same ladder applies. That is not the Brokerage ending its Plan under clause 6.
8. Limited Mode
8.1 Always off in Limited Mode.
- (a) New agent invites, including bringing agents in from a list.
- (b) Raie and every other AI feature in Office. This includes AI help in reading a PDF bank statement. A standard bank CSV is still read without AI.
8.2 Also off when Limited Mode is for non-payment. Automatic deal intake: an Agent's accepted offer does not arrive in Office by itself. The office can still create and work any deal by hand. For a pause (clause 9) or the 7 days after you end your Plan, deal intake and the month-end autopilot stay on.
8.3 Not switched off because of billing.
- Recording, authorizing and banking deposits.
- Refunds and payments out of trust.
- Monthly reconciliation.
- Viewing any Record.
- Reports and the RECO audit package.
- Export.
- Completing open deals.
- Your Agents' Pro access, until the date their Seat ends.
8.4 Not an uptime promise. "Not switched off because of billing" says what billing will not do. It is not a promise that Office never fails (clause 3.4).
8.5 Your duties continue. Limited Mode does not pause any duty the Brokerage has under TRESA, RECO's rules or FINTRAC's rules.
9. Pause
9.1 What a pause is. At the Brokerage's request, Realtics may, at its choice, pause billing for up to 60 days, once in any 12 months. A pause is only for a Plan in good standing: not past due and not ending. Ask through Pause instead in the End my plan flow, or by email. We confirm the end date in writing.
9.2 During a pause. No fees are collected. Office is in Limited Mode (clause 8.1 only; deal intake, trust record-keeping, reconciliation, the month-end autopilot, reports and export stay on). Your Agents keep their Seats.
9.3 What a pause does not do. A pause does not pause the Brokerage's monthly reconciliation or any other duty under the law. It does not extend your term and it does not refund anything.
9.4 Ending a pause. Billing starts again on the date we gave you. If you end your Plan during a pause, the pause stops.
9.5 You have no right to a pause.
10. Discounts, credits and other concessions
A discount, credit, free period, extension, pause or any other concession is Realtics's choice. It applies only for the period we state in writing. It is one-time. It creates no continuing right, and it is not a precedent for later months. Nothing is a concession unless Realtics confirms it in writing.
11. Telling your Agents
11.1 What we may say. The Brokerage agrees that Realtics may tell its Agents, in the app and in neutral words:
- that their Seat is scheduled to end, and on what date;
- that if the Plan changes before then, their Seat returns automatically;
- that they can keep Pro with a plan of their own;
- that questions about the Brokerage's plan go to the Broker of Record.
Realtics may offer an Agent a personal plan, including a first-month discount.
11.2 What we will not say. We will not say why a Seat is ending. We will not use the words unpaid, overdue, suspended or limited mode in a message to an Agent. We show the Broker of Record the words first: on the End my plan confirm screen, in the day-14 notice and on the Billing page.
11.3 What we use for the offer. To make an offer to an Agent we use only information the Agent created for themselves in their own account, such as how many forms they made. We never use the Brokerage's Records.
11.4 Nothing else. Billing status is still confidential under clause 18. Realtics will not use the Records to contact Agents about moving to another brokerage or another system.
12. Records
12.1 Ownership. The Brokerage owns its Records. Realtics gets only the rights it needs to provide the service: to store, process, display, back up and send Records to the people the Brokerage chooses. An Agent keeps their own account and their own deals, contacts and forms.
12.2 Realtics's role. Realtics is the Brokerage's service provider for the Records. We process them only to provide Office to the Brokerage and only on its instructions. We do not use them for our own purposes. We do not use them to train AI models. We do not use them to decide which offers to send an Agent. Counts about how the service is used (numbers, not content) belong to Realtics.
12.3 The Statutory Period. For each Record, the Statutory Period is the longest of:
- (a) the period set by O. Reg. 579/05, s. 19: the period the RECO registrar specifies, or at least six years if the registrar has set none (RECO's guidance counts the six years from when the transaction is completed);
- (b) five years for FINTRAC records, counted as the Proceeds of Crime (Money Laundering) and Terrorist Financing Regulations count them;
- (c) any longer time the law requires for that Record.
12.4 Keeping and correcting. During the Statutory Period we keep the Records and they stay available to view and export. Realtics does not edit or delete them. A correction is made by adding a new entry, such as "void with reason", never by erasing an old one. Trust record-keeping stays open for as long as the Brokerage holds trust money or has open deals. We will not delete a Record in this time even if asked, unless a law, or a court or regulator order, requires it. Where we can, we tell the Brokerage first.
12.5 After the Statutory Period. Before we remove any Record, we give the Broker of Record 90 days' written notice and send an export. The Brokerage may ask us to keep Records longer. We may charge a reasonable hosting fee for that, agreed in advance.
12.6 Where Records are kept. Records are stored in Microsoft Azure data centres in Canada (Canada Central). When AI features are used, some content is sent to the United States (clause 14.3). Our service logs and monitoring data are kept in Canada. The law says where a brokerage must keep its required records. The Brokerage is responsible for telling RECO, or getting what RECO requires, about keeping its records with Realtics online. On request we give the Brokerage a written description of where and how its Records are kept.
13. Getting your data out
13.1 How to ask. The Broker of Record asks in writing at support@realtics.ca. We may check who is asking, for example by writing back to the Broker of Record's account email. The Brokerage does not have to give a reason.
13.2 How fast.
- We deliver the export within 10 business days of the request. We aim for 3.
- If the Brokerage shows us a Regulator Demand, we deliver within 2 business days of that request.
- A very large library may arrive in parts. The time limit still applies to each part.
13.3 Free and unconditional. The export is free. We do not hold it back, slow it down or condition it on unpaid fees, a call, a survey, a reason, a signed release or a decision to stay. This is true when the Brokerage is in Limited Mode, after day 52, after the Plan has ended, and when the Brokerage owes us money.
13.4 What is in the export.
- Data files (CSV, in a ZIP). Every table of the Brokerage's data. This includes: deals, deal terms and offers; deposits, refunds and receipts; the trust ledger and every account entry; bank statement lines, matches and explanations; monthly reconciliations, shortfall notices and month-end closes; trade record sheets and their entries; payouts and payments out; agent records, fees, charges, statements, credits, cap and split history; FINTRAC records, checks and the report log; compliance documents and training records; the legal and compliance logs; agent registration checks; report signatures; and the audit trail (the supervision log).
- Documents, as filed. Deal documents shared with the office, including signed trade record sheets; the filed FINTRAC record PDFs; agent hub documents such as RECO certificates; compliance documents; uploaded bank statements; the signed monthly reconciliation PDFs; signed reports.
- A manifest. A list of every table and how many rows, and every document. If we cannot retrieve a file, we list it and tell you in writing.
- Formats. CSV (UTF-8) for data. Documents in the form they were uploaded or generated, usually PDF.
13.5 What the export leaves out or shortens.
- Other brokerages' data, and the personal items an Agent keeps for themselves.
- Sign-in secrets and two-step recovery codes.
- In the data files (the tables), SINs and business numbers show only the last 3 digits, and ID-document numbers are left out. The filed documents themselves are included as they were filed, so they carry the numbers they were filed with.
13.6 Things you can do without asking. Reports (PDF and CSV), the RECO audit package and each deal's documents are available to the Brokerage in Office at any time, including in Limited Mode.
13.7 Moving to another provider. If the Brokerage moves to another system, Realtics will cooperate. We will not obstruct the move or slow the export. We will answer reasonable questions about the files and re-run an export if the new provider finds a gap, free of charge. Other conversion work is at a rate we agree with the Brokerage in writing first.
13.8 This continues. This clause continues after the agreement ends, for the whole Statutory Period.
14. Privacy, security and AI
14.1 Roles. The Brokerage is responsible, under PIPEDA, for the personal information of its Agents and clients in the Records. It must have the authority and consent it needs to put that information into Office, and it must tell its clients and Agents that service providers are used. Realtics is the Brokerage's service provider for those Records (clause 12.2). Realtics is responsible for its own account and billing information about the Brokerage and its users.
14.2 Sensitive information. FINTRAC identity documents (driver's licences, passports and similar) are high-sensitivity information. We handle them that way.
14.3 Where data goes. The service providers that handle Records are:
| Provider | What for | Where |
|---|---|---|
| Microsoft Azure (hosting, database, file storage) | Running Office and storing Records | Canada Central |
| Microsoft Azure (monitoring and logs) | Keeping the service working and secure | Canada Central |
| Microsoft Azure OpenAI Service | The AI features | United States (Azure East US). Voice transcription: North Central US. |
| Stripe (Stripe Payments Canada, Ltd.) | Card and PAD payments, billing portal | United States (Stripe's own terms and privacy policy apply) |
| Resend (email delivery) | Service and promotional email | United States |
We give 30 days' notice before a new provider starts handling Records, and the Brokerage may object by ending its Plan under clause 6. When AI is used, the content it needs (for example the text of an uploaded document or a question) is sent to the United States for processing and can be reached by U.S. authorities under U.S. law. We do not send photos of ID documents or FINTRAC records to AI features (clause 14.4).
14.4 Raie and the AI features.
- Raie reads and writes words. Realtics's code decides and sends. Raie reads documents and offers, checks packages, fills in deal values, writes the morning summary, answers questions, drafts reminders and proposes changes.
- Raie never approves a deal, authorizes or moves trust money, signs anything, or sends a document for signature. A person does. The Broker of Record authorizes every trust transaction. A person reviews and sends every trade record for signature.
- A change Raie proposes does nothing until the person who asked approves it. The preview lasts 15 minutes and only that person can approve it.
- Deal values marked "Filled by AI" are applied to the deal so you can work faster. A person must check them against the signed documents before relying on them for money or for compliance.
- Realtics itself sends some automatic emails to your office: the Broker of Record's morning summary, overdue alerts and invite reminders. Agent statements are drafted for you to review and send.
- AI output is not legal advice and is not a compliance opinion. The absence of a flag from Raie is not a sign that a deal complies.
- We do not use Records to train AI models.
- We do not send photos of ID documents or FINTRAC records to Raie or any other AI feature. Forms are filled from the stored FINTRAC fields without AI.
14.5 Security and incidents. Every Office login needs a password and a second sign-in step. Data is encrypted in transit. We take reasonable steps to protect the Records. No system is perfectly safe. If we confirm a breach that affects the Brokerage's Records, we tell the Broker of Record without undue delay, and in any event within 72 hours of confirming it, so the Brokerage can meet its own duties to people, to the Privacy Commissioner and to RECO or FINTRAC where they apply.
14.6 Realtics access to Records. A small number of Realtics platform administrators can reach the Records through Realtics HQ. They do so to carry out something the Brokerage asked for in writing (an export, a two-step reset, a change of Broker of Record, billing actions), to keep the service secure and working, or to follow the law. Actions that change data or export it are logged. On request we give the Brokerage a copy of the log for its Records.
14.7 Requests from individuals. If an Agent or client asks Realtics for access to or correction of information in the Records, we send the request to the Brokerage. We help the Brokerage answer within the time the law allows. Please send questions to privacy@realtics.ca.
15. The Brokerage's responsibilities
15.1 The Broker of Record (and the Backup Broker) stay responsible for:
- authorizing every trust-money transaction (deposits, payments out, refunds);
- supervising the Brokerage's staff and Agents;
- the monthly trust reconciliation, signed and dated within 30 days after month-end (O. Reg. 579/05, s. 13);
- telling RECO about any trust shortfall as the law requires;
- the Brokerage's FINTRAC compliance program. Office has tools to store and track program documents. It does not create the program.
15.2 Nothing in this agreement makes Realtics a real estate brokerage, a registrant, or responsible for the Brokerage's compliance. Using Office does not by itself satisfy any duty under TRESA, RECO's rules or FINTRAC's rules.
15.3 The Brokerage decides who may use Office and what they may do. The Brokerage, not Realtics, is responsible for checking that its people are registered and allowed to trade.
15.4 The Brokerage will use Office lawfully, will not reverse engineer it, resell it, or use it to build a competing product, and will keep logins private.
16. Communications
16.1 Service messages. We send messages about the Plan and the service: confirmations, invoices and receipts, payment notices, the day 0, 7, 14 and 40 notices, seat and plan changes, security notices, support replies and legal notices. You cannot opt out of these while you have an agreement with us. Unsubscribing from promotional email never stops them.
16.2 Promotional messages. We may send promotional messages. Each says who we are, gives our mailing address and has an unsubscribe link. Unsubscribing stops promotional messages only.
16.3 After your Plan ends. For up to 12 months after your Plan ends, Realtics may write to the Broker of Record about Realtics, from time to time. The Broker of Record can stop these at any time, by the unsubscribe link or by telling us. We say when a note is promotional. We do not call this your express consent. We write to you because you were our customer.
16.4 Phone. A call from Realtics about billing, ending the Plan or your export is a service contact.
17. Notices
17.1 To the Brokerage. We give notice by email to the Broker of Record's account email, and while the Broker of Record is away, also to the Backup Broker. We also show notices on the Billing page and in Office. Automated service emails (confirmation, reminders, and the day 0, 7, 14 and 40 notices) are notices. The day-14 email is the formal notice for clause 7. A notice is received on the next business day after we send it. The Brokerage must keep the Broker of Record's email current and must read it.
17.2 To Realtics. Write to support@realtics.ca. For a legal notice, also send it to Realtics Inc., 135 Bass Pro Mills Dr Unit 54, Vaughan, ON L4K 5W4.
18. Confidentiality
Each party keeps the other's non-public information confidential and uses it only for this agreement. This expressly covers the Brokerage's billing status. It does not cover (a) information that is public through no fault of the receiving party, (b) the neutral Agent notices in clause 11, (c) information the law, a court or a regulator requires us to give, or (d) disclosure to our own professional advisors and payment processor who are bound to keep it confidential.
19. If Realtics stops operating or is sold
19.1 If Realtics decides to stop operating Office, or is sold, we give the Broker of Record at least 90 days' written notice where we can. We send an export without being asked. We will take reasonable steps to keep the Records reachable for the Statutory Period, with us or with a successor or custodian that is bound by terms no less protective than these.
19.2 Realtics may transfer this agreement to a successor that agrees in writing to these terms. The Brokerage may not transfer it without our consent, except to a successor brokerage with written notice to us.
20. Liability and risk
20.1 What we are not limiting. Nothing here limits liability that the law does not allow to be limited.
20.2 Cap. Each party's total liability to the other for all claims arising out of this agreement is limited to the fees the Brokerage paid in the 12 months before the event that gave rise to the claim. Neither party is liable for indirect or consequential loss. The cap does not reduce the fees the Brokerage owes.
20.3 Compliance stays with the Brokerage. Office is a tool. The Brokerage is responsible for its own compliance (clause 15).
20.4 Backups. Our hosting provider backs up the database, and we keep those backups for 35 days. Uploaded and signed files are not backed up separately. We do not promise a particular backup schedule or restore time. Keep your own copy of your key records (clause 3.4).
20.5 Please read this clause. This clause sets limits on what each side can claim.
21. Changes to these terms
We may change these terms. For a material change we give the Broker of Record at least 30 days' written notice before it applies to you. If you do not agree, you can end your Plan under clause 6 and the old terms apply until it ends. A change the law requires may apply sooner. We may ask the Broker of Record to agree again, and we record that.
22. General
22.1 Governing law. The laws of the Province of Ontario and the federal laws of Canada that apply there.
22.2 Disputes. The courts of Ontario, sitting in Toronto.
22.3 Force majeure. Neither party is liable for delay caused by events outside its reasonable control. This does not excuse the export deadlines in clause 13 where Realtics can still deliver.
22.4 Whole agreement. The signed Order Form and these terms are the whole agreement for Office. Ticking a box in Office does not change what the signed Order Form says. If part is invalid, the rest stays.
22.5 Language. English.
